Terms of Use for Information Providers Article 1 (Purpose) As an embodiment of the section of the stem cell information database (hereinafter called the "Stem Cell Information DB Project") of "Technical Support of the Clinical Research Application and Collecting and Transmission of International Information of Stem Cells Including iPS" which is one of the divided research theme of "The Infrastructure Development Project to Promote the Clinical Research of Regenerative Medicine : The Regenerative Medicine National Consortium Project to Support the Clinical Research of Regenerative Medicine, etc. (tentative translation)" funded by the Japan Agency for Medical Research and Development (AMED), the purpose of this website (Stemcell Knowledge and Information Portal: http://www.skip.med.keio.ac.jp/) (hereinafter called "SKIP") is to promote the exchange of information and joint research between researchers by aggregating various information such as the kind, ubiety, characteristic, preservation method, etc. of stem cells (iPS cells, iPS cells derived from patients, etc.) and cells that contribute to the research of stem cells (fibroblasts, lymphoblast cells, etc.) (hereinafter called, collectively, the "Cell Related Information") (hereinafter called the "Purpose"). Article 2 (Operating Committee) SKIP is operated and managed by the operating committee (hereinafter called the "SKIP Operating Committee") consisting of members appointed under the approval of the principal investigator of the Stem Cell Information DB Project. Article 3 (Registrant of the Information) (1) Those who are eligible to register information on SKIP shall have the status of either of the following: (a) head of a laboratory or research group in a university, company, independent administrative agency (dokuritsu gyosei houjin) or any other research institution; or (b) principal researcher who leads the subgroup under the head of the laboratory or research group prescribed in the preceding item. (2) Those who have the qualification set forth in the previous paragraph and wish to register information on SKIP (hereinafter called the "Applicant(s)") shall provide the SKIP Operating Committee with necessary information as designated by the same, and separately make an on-line application to register as a user to register the information. (3) The SKIP Operating Committee shall review the application prescribed in the preceding paragraph, and may reject such application in case it is not clear whether the person who wishes to register the information on SKIP is qualified as set forth in paragraph (1), or it is apparent that the Applicant has an illegitimate purpose, or otherwise the SKIP Operating Committee decides otherwise that it is not appropriate to grant the registration. (4) If the Applicant’s registration is approved as a user to register information on SKIP upon review by the SKIP Operating Committee (the person who receives such approval is hereinafter called the "SKIP Information Registrant"), the Applicant may register the Cell Related Information on SKIP (the information, etc. registered under this paragraph is hereafter called the "Registered Information"). (5) In addition to the foregoing, the SKIP Information Registrant shall also obtain the status as a viewer if he/she agrees to the Term of Use for Information Viewer (hereinafter called the "Viewer Terms") and his/her registration as a user to view the Registered Information on SKIP is approved upon review by the SKIP Operating Committee (those who obtain such approval are hereafter called the " SKIP Information Viewer"). Article 4 (Creation, Revision and Compliance of Terms, etc.) (1) The SKIP Operating Committee may, at any time, for the smooth operation of SKIP, establish these Terms of Use and the Viewer Terms as well as detailed rules and guidelines thereof and other items that are necessary for the operation of SKIP (such terms are hereafter collectively called the "SKIP Rules and Guidelines"), and may, at any time and without obtaining approval of the SKIP Information Registrant, revise any contents thereof. (2) In case of revision of the SKIP Rules and Guidelines, the SKIP Operating Committee shall promptly post them on the top page of SKIP or notify the contents thereof, by any other method the SKIP Operating Committee deems appropriate, to the SKIP Information Registrants and SKIP Information Viewers in advance, which shall become applicable after a certain waiting period. The revised version of the terms shall also apply to the SKIP Information Registrants who applied for the registration under the preceding Article prior to such terms becoming applicable. (3) The SKIP Information Registrant shall, in any event, comply with the SKIP Rules and Guidelines, and applicable laws and regulations, etc. (including any revised version thereof). Article 5 (Management of Registration ID, etc.) The SKIP Information Registrant shall strictly manage the "login ID" and "password" as a SKIP Information Registrant, granted by the SKIP Operating Committee, on his/her own responsibility, and shall not assign or lend it to any third party or otherwise allow any third party to use it except for certain members of the university, company, independent administrative institutions and other laboratories and research groups in research institutions to which the SKIP Information Registrant belongs. Article 6 (Registered Information) (1) The SKIP Information Registrant shall register the information after confirming the accuracy of such information as Registered Information on his/her own responsibility. In case there are errors or changes in the Registered Information, the SKIP Information Registrant shall report to the SKIP Operating Committee through SKIP, and correct the Registered Information after such correction is confirmed by the SKIP Operating Committee. (2) When the SKIP Operating Committee finds any errors or unclear statements within the Registered Information, the SKIP Operating Committee may delete or correct such Registered Information upon notifying the SKIP Information Registrant who registered such Registered Information. Article 7 (Publication and/or Disclosure of Information) At the time of registration, the SKIP Information Registrant shall, unless otherwise explicit reservation has been made at the time of registration, provide consent to all of the items set forth below, in order to achieve the Purpose prescribed in Article 1. (a) The Registered Information which the SKIP Information Registrant has designated as being able to disclose to the public (hereinafter called the "Publicly Disclosed Information") will be generally disclosed and made available to the public; (b) The Registered Information which the SKIP Information Registrant does not wish to be disclosed to the public and has designated as viewable only by the SKIP Information Viewer (hereafter called the "Limited Disclosure Information") will be disclosed only to the SKIP Information Viewer; and (c) Among the Limited Disclosure Information which shall only be disclosed to a specific SKIP Information Registrant due to its highly sensitive nature (hereinafter called the "Restricted Disclosure Information") will be disclosed only to a particular SKIP Information Viewer on condition that the SKIP Information Registrant and the provider of the Registered Information (and, if necessary, other party deemed appropriate by the parties) shall conclude a confidentiality agreement as deemed proper by the executing parties. Article 8 (Warranty) (1) The SKIP Information Registrant shall, when making an application for registration of the Cell Related Information on SKIP, anonymize such information in advance. (2) The SKIP Information Registrant warrants that, he/she has obtained explicit consent, when necessary, from the provider of the cell and/or the donor (hereafter called, collectively, the "Provider of Cell") for the publication or disclosure of Provider of Cell and other Cell Related Information, among the Registered Information. (3) SKIP Information Registrant warrants that he/she shall register the Cell Related Information pertaining to specific individuals or patients in compliance with the Ethical Principles under the Helsinki Declaration and the Ethical Guidelines for Human Genome and Genetic Sequencing Research, as well as any rules, guidelines and other provisions of the state or academic societies. (4) In case where the SKIP Information Registrant reprints a third person's article/thesis/works as Registered Information, the SKIP Information Registrant warrants that he/she shall not infringe such third person's copyrights and other rights, and shall explicitly cite the source. Article 9 (Prohibition of Commercial Use, etc.) The SKIP Information Registrant shall use the Registered Information posted on SKIP only for research purposes, and shall not use such information for commercial purposes or any purpose other than achieving the Purpose. The SKIP Information Registrant shall confirm with the SKIP Operating Committee when he/she has any doubt whether his/her use falls under a commercial purpose or not. If the SKIP Operating Committee determines that such use falls under a commercial purpose, such use shall be prohibited. Article 10 (Confidentiality) (1) SKIP Information Registrant shall keep the information which is disclosed by the Provider of Cell to each of the SKIP Information Registrant and members of its group as confidential and shall not disclose to any third party (in this article, the provider of the information, etc. shall be hereafter called the "Discloser" and the Recipient, etc. shall be hereafter called the "Recipient"). (2) Notwithstanding the provision in paragraph (1), in case where the Recipient decides that it is necessary to disclose the Confidential Information to a third party in order to achieve the Purpose, the Recipient shall obtain prior written consent from the Discloser and conclude a three-way confidentiality agreement with such third person (among the Discloser, Recipient and such third party) who shall become the recipient. Article 11 (Cancellation and Change of Registration) (1) The SKIP Information Registrant may cancel the registration on SKIP at any time after the registration by way of a notification to the SKIP Operating Committee through the SKIP Secretariat Office (email address: office@skip.med.keio.ac.jp). (2) The SKIP Operating Committee may cancel the registration of the SKIP Information Registrant if/when: (a) the SKIP Information Registrant retires from his/her registered workplace; (b) the SKIP Information Registrant loses his/her status as provided under Article 3, paragraph (1); (c) the SKIP Information Registrant violates the SKIP Rules and Guidelines or disrupts the operation of SKIP, or when there is real/imminent danger of such actions being taken; or (d) the SKIP Operating Committee determines otherwise that maintaining such registration is not appropriate. (3) In the event SKIP Information Registrant cancels or had its registration cancelled, SKIP Operating Committee shall completely delete the Limited Disclosure Information which such SKIP Information Registrant registered from SKIP's server and return all tangibles that include such Limited Disclosure Information. (4) Even if the SKIP Information Registrant cancels or had its registration cancelled, the Registered Information other than the Limited Disclosure Information which shall be deleted or returned based on the preceding paragraphs will not be returned to such SKIP Information Registrant, and will continue to be disclosed based on Article 7. (5) In case of any change to the contents of the application submitted to the SKIP Operating Committee at the time of application as set forth in Article 3, paragraph (2), the SKIP Information Registrant shall make a notification to the SKIP Operating Committee through the SKIP Secretariat Office (email address: office@skip.med.keio.ac.jp) without delay. Article 12 (Protection of Personal Information) SKIP shall, for the purpose of management of personal information, comply with the "Act on the Protection of Personal Information" (Act No. 57 of May 30, 2003), Keio Rules for Protection of Personal Information Used for Academic Research, and other relevant laws and regulations. Article 13 (Disclaimer) The SKIP Operating Committee makes no warranty, whether expressed or implied, in connection with SKIP, nor does it warrant the absence of infringement of any third party's copyright, trademark right or other intellectual property right, privacy right, right of honor or other rights. The SKIP Information Registrant agrees to register the Cell Related Information on SKIP at its own responsibility, and in case the SKIP Information Registrant receives a demand, claim, etc. from the SKIP Information Viewer or any other third party arising out of a violation of the SKIP Rules and Guidelines or contents of the Registered Information, or in case of a demand, claim, etc. to be made against a third party, the SKIP Information Registrant shall, at its own responsibility and expense, resolve and settle such demand and claim as well as any dispute arising therefrom, and shall indemnify and hold harmless the SKIP Operating Committee from and against any damages. SKIP and the SKIP Operating Committee assume no liability for such dispute, etc., and the SKIP Information Registrant shall compensate the SKIP Operating Committee for any and all damages, losses and expenses incurred by the SKIP Operating Committee due to such SKIP Information Registrant’s act. Article 14 (Term) (1) These Terms of Use shall remain in force during the duration of SKIP. (2) Notwithstanding the preceding paragraph, Articles 12, 13, 16 and 17 shall survive the expiration of the duration of SKIP and remain in force thereafter. Article 15 (Construal question) (1) When a question arises regarding the construction of these Terms of Use, the SKIP Operating Committee shall indicate its opinion. (2) The SKIP Information Registrant shall observe the opinion prescribed in the preceding paragraph. Article 16 (Applicable laws) These Terms of Use shall be governed in accordance with the laws of Japan. Article 17 (Jurisdiction) Any disputes concerning these Terms of Use and any and all other associated agreements shall be resolved by the Tokyo District Court having exclusive jurisdiction as the first instance.
